Terms of Service

Ollynk provides software for fitness, wellness, and similar businesses ("Studios") to manage bookings, memberships, payments, loyalty, point of sale, communications, and white-label applications for their own clients. Features and plans may change over time.

You must be of legal age and able to enter into a binding contract. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3.1 Plans and prices. The Services are offered under subscription plans billed per branch/location ("sucursal"). Prices are stated in Mexican pesos (MXN) unless otherwise agreed and are as published or as set out in your order or commercial proposal.

3.2 Payment. Fees are billed in advance on a recurring basis (monthly or annual) through our payment processor (Stripe). You authorize us to charge your payment method for all applicable fees and taxes.

3.3 Auto-renewal. Subscriptions renew automatically for the same period unless cancelled before the end of the current term, in accordance with Section 9.

3.4 Taxes. Fees are exclusive of applicable taxes (e.g., VAT/IVA), which are your responsibility.

3.5 Late or failed payment. We may suspend or limit the Services if fees are overdue.

3.6 Changes to fees. We may change fees for future terms with prior notice; changes do not apply to the current paid term.

You agree to use the Services lawfully and to:

• comply with applicable laws, including consumer, tax, and data protection laws;
• obtain all necessary consents and provide required privacy notices to your own clients;
• not misuse, interfere with, reverse engineer, or attempt unauthorized access to the Services;
• not use the Services to transmit unlawful, infringing, or harmful content;
• be solely responsible for the content and data you upload and for your relationship with your clients.

5.1 Our processing of personal data is described in the Privacy Policy at https://ollynk.io/privacy (EN) / https://ollynk.io/privacidad (ES).

5.2 Roles. For personal data of your clients that we process through the platform, you are the controller and Ollynk acts as processor, processing such data on your documented instructions and solely to provide the Services. You are responsible for the lawful basis of your processing and for your clients' privacy notices.

5.3 Payments. Card data is processed directly by Stripe under its own terms; we do not store full card numbers.

The Services integrate with third parties (e.g., Stripe, Meta/WhatsApp, cloud providers). Your use of those integrations may be subject to their own terms, and we are not responsible for third-party services.

Ollynk and its licensors retain all rights, title, and interest in the Services, software, and brand. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during your subscription. You retain ownership of your own content and data. You grant us the rights necessary to host and process your content to provide the Services.

8.1 We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. Maintenance, updates, or factors beyond our control may cause downtime.

8.2 Disclaimer. Except as expressly stated, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

9.1 These Terms apply while you use the Services. You may cancel your subscription effective at the end of the current billing term through your account or by contacting us.

9.2 We may suspend or terminate access for breach of these Terms, non-payment, or unlawful or harmful use, with notice where reasonable.

9.3 Upon termination, your right to use the Services ends. We will make your data available for export for a limited period, after which it may be deleted, subject to legal retention obligations.

To the maximum extent permitted by law, Ollynk will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or related to the Services will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold Ollynk harmless from claims, damages, and expenses arising from your content, your use of the Services, your relationship with your clients, or your breach of these Terms or applicable law.

We may update these Terms from time to time. Material changes will be notified through the Services or by email and take effect when published. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of Mexico. The parties submit to the competent courts of Mexico City, waiving any other jurisdiction that may correspond by reason of domicile or otherwise, without prejudice to mandatory consumer protections that may apply.
